The allocation of shares in a company by the directors, following an application or offer to take up the shares. Decisions as to the persons to whom shares are allotted, and the number allotted to each, are at the discretion of the directors, subject to compliance with the Corporations Law. If an issue of shares is over- subscribed, i.e. the number of shares applied for exceeds the number available for issue, the excess must be eliminated either by rejecting some applications altogether, or by reducing the number of shares allotted to some or all of the applicants.
